Terms and Conditions Agreement - Corporate and Public Sector Customers
Please read this document carefully! It contains very important information about your rights and obligations, as well as limitations and exclusions that may apply to you.
This Agreement contains the terms and conditions that apply to your purchase from the INLINE entity named on the invoice ("INLINE") that will be provided to you ("Customer") on orders for computer systems, related products and/or services and support sold in the United States. By accepting delivery of the computer systems, other products and/or services and support described on that invoice, Customer agrees to be bound by and accepts these terms and conditions. THESE TERMS AND CONDITIONS APPLY (i) UNLESS THE CUSTOMER HAS SIGNED A SEPARATE PURCHASE AGREEMENT WITH INLINE, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN; OR (ii) UNLESS OTHER INLINE STANDARD TERMS APPLY TO THE TRANSACTION. These terms and conditions are subject to change without prior written notice at any time, in INLINE's sole discretion.
1. Other Documents
These terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for product(s) or services and support that are subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both Customer and INLINE.
2. Governing Law
THIS AGREEMENT AND ANY SALES THEREUNDER SHALL BE GOVERNED BY THE LAWS OF THE STATE OF ALABAMA, WITHOUT REGARD TO CONFLICTS OF LAWS RULES.
3. Payment Terms
Orders; Quotes; Interest. Terms of payment are within INLINE's sole discretion, and unless otherwise agreed to by INLINE, payment must be received by INLINE prior to INLINE's acceptance of an order. Payment for the products and services and support will be made by credit card, wire transfer, or some other prearranged payment method unless credit terms have been agreed to by INLINE. Invoices are due and payable within the time period noted on the reverse side of this invoice, measured from the date of the invoice. INLINE may invoice parts of an order separately. Orders are not binding upon INLINE until accepted by INLINE. Any quotations given by INLINE will be valid for the period stated on the quotation. Customer agrees to pay interest on all past-due sums at the highest rate allowed by law.
4. Shipping Charges
Taxes. Separate charges for shipping and handling will be shown on INLINE's invoice(s). Unless Customer provides INLINE with a valid and correct tax exemption certificate applicable to the product ship-to location prior to INLINE's acceptance of the order, the Customer is responsible for sales and all other taxes associated with the order, however designated, except for INLINE's franchise taxes and taxes on INLINE's net income. If applicable, a separate charge for taxes will be shown on
INLINE's invoice.
5. Title; Risk of Loss
Title to products passes from INLINE to Customer on shipment from INLINE's facility. Loss or damage that occurs during shipping by a carrier selected by INLINE is INLINE's responsibility. Loss or damage that occurs during shipping by a carrier selected by Customer is Customer's responsibility. Title to software will remain with the applicable licensor(s).
6. Warranties
THE LIMITED WARRANTIES APPLICABLE TO INLINE-BRANDED PRODUCTS ARE INCLUDED IN THE DOCUMENTATION ALONG WITH THE PRODUCTS, AND THERE ARE NO WARRANTIES FOR SERVICES. INLINE MAKES NO EXPRESS WARRANTIES EXCEPT THOSE STATED IN THIS SECTION AND IN INLINE'S APPLICABLE WARRANTY STATEMENT IN EFFECT ON THE DATE OF THE INVOICE. ANY SUCH WARRANTIES WILL BE EFFECTIVE, AND INLINE WILL BE OBLIGATED TO HONOR ANY SUCH WARRANTIES, ONLY UPON INLINE'S RECEIPT OF PAYMENT IN FULL FOR THE ITEM TO BE WARRANTED. INLINE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF' MECHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. INLINE'S RESPONSIBILITY FOR WARRANTY CLAIMS IS LIMITED TO REPAIR AND REPLACEMENT AS SET FORTH IN INLINE'S APPLICABLE WARRANTY STATEMENT IN EFFECT ON THE DATE OF THE INVOICE. INLINE reserves the right to modify its warranty at any time, in its sole discretion. All software is provided subject to the license agreement that is part of the package. Customer agrees that it will be bound by the license agreement once the package is opened or its seal is broken. INLINE does not warrant any software under this
Agreement. Warranties, if any, for the software are contained in the license agreement that governs its purchase and use.
7. Year 2000
INLINE-branded hardware is covered by INLINE's "Year 2000 Statement of Compliance," a copy of which may be obtained by visiting INLINE's website at www.InLine.com.com/main/active.asp?ID=33 or by contacting your sales representative. The Year 2000 Statement of Compliance is the exclusive statement of INLINE's liability for year 2000 readiness and compliance.
8. Return Policies
INLINE systems and parts that are purchased directly from INLINE by an end-user Customer may be returned by Customer in accordance with INLINE's "Total Satisfaction Return Policy" in effect on the date of the invoice.
9. Exchanges
From time to time, INLINE may, in its sole discretion, exchange products or portions of a product. Any exchanges will be made in accordance with INLINE's exchange policies in effect on the date of the exchange.
10. Products
INLINE's policy is one of on-going product update and revision. INLINE may revise and discontinue products at any time. INLINE will ship products that have the functionality and performance of the products ordered, but changes between what is shipped and what is described in a specification sheet or catalog are possible. Spare parts may be new or reconditioned.
11. INLINEWare and Gigabuys Products
INLINEWare and Gigabuys products carry different return and warranty policies than INLINE products. INLINEWare and Gigabuys products may be returned to INLINE in accordance with their respective return policies in effect on the date of invoice. Any warranty and technical support provided on a DeIlWare or Gigabuys product is provided by the original manufacturer, not by INLINE. The warranties and technical support may vary from product to product.
12. Limitation of Liability
INLINE DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN, INCLUDING ANY LIABILITY FOR PRODUCTS NOT BEING AVAILABLE FOR USE OR FOR LOST OR CORRUPTED DATA OR SOFTWARE, OR THE PROVISION OF SERVICES AND SUPPORT INLINE WILL NOT BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN. THIS LIMITATION OF LIABILITY APPLIES BOTH TO PRODUCTS AND SERVICES AND SUPPORT CUSTOMER PURCHASES UNDER THIS AGREEMENT.
CUSTOMER AGREES THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES BUNDLED WITH THE PRODUCTS, INLINE IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AGGREGATE DOLLAR AMOUNT PAID BY CUSTOMER FOR THE PURCHASE OF PRODUCTS UNDER THIS AGREEMENT. CUSTOMER AGREES THAT FOR ANY LIABLITY RELATED TO THE PURCHASE OF SERVICES NOT BUNDLED WITH PRODUCTS UNDER THIS AGREEMENT, INLINE IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AGGREGATE DOLLAR AMOUNT PAID BY CUSTOMER FOR THE PURCHASE OF SERVICES UNDER THIS AGREEMENT.
13. Applicable Law
Not For Resale. Customer agrees to comply with all applicable laws and regulations of the various states and of the United States. Customer agrees and represents that it is buying for its own internal use only, and not for resale. INLINE has separate terms and conditions governing resales.
14. Service and Support
INLINE endeavors to provide the best customer and technical telephone support in the personal computer industry. For end-user Customers, INLINE promises that its support people will attempt to handle over the telephone any problem involving INLINE products. However, INLINE's support people may not be able to understand or resolve any given problem. Service offerings may vary from product to product. INLINE has no obligation to provide service or support until INLINE has received full payment for the product or service/support contract for which service or support is requested. INLINE will provide service and support to Customer in the United States in accordance with the terms and conditions of the services and support policies and conditions in effect on the date purchased.

The section headings used herein are for convenience of reference only and do not form a part of these terms and conditions, and no construction or inference shall be derived therefrom.

Introduction
INLINE-branded hardware products come with either a one-year limited warranty or a three-year limited warranty. The standard one-year and three-year limited warranties for systems purchased in the U.S. are included in this section. Click here for a listing of INLINE hardware products and the limited warranty periods applicable to each. The actual limited warranty statement is noted on your invoice and included in the documentation accompanying your system.
Note: This information applies to the United States only, unless specifically stated otherwise.
One-Year Limited Warranty (United States Only)
INLINE Computer Corporation ("INLINE") manufactures its hardware products from parts and components that are new or equivalent to new in accordance with industry-standard practices. INLINE warrants that the hardware products it manufactures will be free from defects in materials and workmanship. The warranty term is one year beginning on the date of invoice, as further described below.
Damage due to shipping the products to you is covered under this warranty. Otherwise, this warranty does not cover damage due to external causes, including accident, abuse, misuse, problems with electrical power, servicing not authorized by INLINE, usage not in accordance with product instructions, failure to perform required preventive maintenance, and problems caused by use of parts and components not supplied by INLINE.
This warranty does not cover any items that are in one or more of the following categories: software; sound cards; speakers; external devices; accessories or parts added to a INLINE system after the system is shipped from INLINE; accessories or parts added to a INLINE system through INLINE's system integration department; accessories or parts that are not installed in the INLINE factory; or INLINE are® products. Monitors, keyboards, and mice that are included on INLINE's standard price list are covered under this warranty; all other monitors, keyboards, and mice (including those sold through the INLINEWare program) are not covered.
INLINE will repair or replace products returned to INLINE's facility. To request warranty service, you must call INLINE within the warranty period. Refer to the chapter titled "Getting Help" in your Diagnostics and Troubleshooting Guide, Reference and Troubleshooting Guide, Installation andshooting Guide, or Service Guide to find the appropriate telephone number for obtaining customer assistance. If warranty service is required, INLINE will issue a Return Material Authorization Number. You must ship the products back to INLINE in their original or equivalent packaging, prepay shipping charges, and insure the shipment or accept the risk of loss or damage during shipment. INLINE will ship the repaired or replacement products to you freight prepaid if you use an address in the U.S. (excluding Puerto Rico and U.S. possessions). Shipments to other locations will be made freight collect.
Note: Before you ship the product(s) to INLINE, back up the data on the hard-disk drive(s) and any other storage device(s) in the product(s). Remove any removable media, such as diskettes, CDs, or PC Cards. If you have any questions, call INLINE for technical assistance.
INLINE owns all parts removed from repaired products. INLINE uses new and reconditioned parts made by various manufacturers in performing warranty repairs and building replacement products. If INLINE repairs or replaces a product, its warranty term is not extended.

SOME STATES (OR JURISDICTIONS) DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

These provisions apply to INLINE's one-year limited warranty only. For provisions of any on-site service contract covering your system, refer to the separate on-site service contract that you will receive.
Three-Year Limited Warranty (United States Only)
INLINE Computer Corporation ("INLINE") manufactures its hardware products from parts and components that are new or equivalent to new in accordance with industry-standard practices. INLINE warrants that the hardware products it manufactures will be free from defects in materials and workmanship. The warranty term is three years beginning on the date of invoice, as further described below.

Limited Warranty Coverage During Year One (United States Only)
During the one-year period beginning on the invoice date, INLINE will repair or replace products returned to INLINE's facility. To request warranty service, you must call INLINE within the warranty period. Refer to the chapter titled "Getting Help" in your Diagnostics and Troubleshooting Guide, Reference and Troubleshooting Guide, Installation and Troubleshooting Guide, or Service Guide to find the appropriate telephone number for obtaining customer assistance. If warranty service is required, INLINE will issue a Return Material Authorization Number. You must ship the products back to INLINE in their original or equivalent packaging, prepay shipping charges, and insure the shipment or accept the risk of loss or damage during shipment. Limited Warranty Coverage During Years Two and Three (United States Only) During the second and third years of this limited warranty, INLINE will provide, on an exchange basis, replacement parts for the INLINE hardware product(s) covered under this limited warranty when a part requires replacement. You must report each instance of hardware failure to INLINE Technical Support in advance to obtain INLINE's concurrence that a part should be replaced and to have INLINE ship the replacement part. INLINE will ship parts using next-business-day delivery, shipping prepaid if you use an address in the U.S. (excluding Puerto Rico and U.S. possessions). Shipments to other locations will be made freight collect. INLINE will include a prepaid shipping container with each replacement part for your use in returning the replaced part to INLINE. Replacement parts are new or reconditioned. INLINE may provide replacement parts made by various manufacturers when supplying parts to you. The warranty term for a replacement part is the remainder of the limited warranty term.
You will pay INLINE for replacement parts when the replaced part is not returned to INLINE within 30 days after the date the replacement part was shipped by INLINE and for parts used to repair systems not covered by this limited warranty. In these events, replacement parts will be priced at INLINE's then-current standard prices. Payment for these parts is due within 30 days from the date ofinvoice. You accept full responsibility for your software and data. INLINE is not required to advise or remind you of appropriate backup and other procedures.
General
THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS WHICH VARY FROM STATE TO STATE (OR JURISDICTION TO JURISDICTION. INLINE'S RESPONSIBILITY FOR MALFUNCTIONS AND DEFECTS IN HARDWARE IS LIMITED TO REPAIR AND REPLACEMENT AS SET FORTH IN THIS WARRANTY STATEMENT. These provisions apply to INLINE's three-year limited warranty only. For provisions of any on-site service contract covering your system, refer to the separate on-site service contract that you will receive.
Note: If you chose one of the available warranty and service options in place of the standard Three-Year Limited Warranty described above, the option you chose will be listed on your invoice.

"Total Satisfaction" Return Policy (United States Only)
If you bought products directly from a INLINE company, you may return them to INLINE up to 30 days from the date of the invoice for a complete refund of the purchase price. If your company bought the products under a Corporate Performance Agreement with a INLINE company, there are limits on when products may be returned to INLINE under this policy. Please consult the person in your company that is the liaison with INLINE for more information. To return products, you must call INLINE customer service at the toll-free telephone number shown in the chapter titled "Getting Help" in your Diagnostics and Troubleshooting Guide, Reference and Troubleshooting Guide, Installation and Troubleshooting Guide, or Service Guide to receive a Credit Return Authorization Number. You must ship the products to INLINE in their original packaging, prepay shipping charges, and insure the shipment or accept the risk of loss or damage during shipment. You may return software for refund or credit only if the sealed package containing the diskettes is unopened. Returned products must be in as-new condition, and all of the manuals, diskettes, power cables, and other items included with a product must be returned with it.
